About the Role The Assistant/Deputy Manager will assist the Counsels and provide legal support to all aspects of BSV and its group companies located across India.

This role will be predominantly focused on contract management including drafting, reviewing, negotiating and advising on a wide range of commercial agreements, business arrangements and legal documentation with domestic and cross-border applicability. In addition, the role will involve handling general corporate and commercial legal matters, providing day-to-day legal advisory support to business teams, assisting in regulatory and compliance matters, coordinating on litigation and dispute management and supporting strategic transactions, including M&A and business partnerships, as required from time to time. This position will play a key role in enabling the organization to operate within a robust legal and compliance framework and support the development and maintenance of world-class pharmaceutical business operations within and outside India.

Responsibilities: Draft, review, negotiate and advise on a wide range of commercial agreements including contract manufacturing agreements, supply and distribution agreements, manufacturing service agreements, confidentiality agreements (NDAs), term sheets, licensing agreements, employment contracts and other commercial arrangements relating to domestic and international business operations. Advise on contracts, prevailing legal risks and liabilities associated with different deals undertaken by BSV and/or its group companies. Conduct trademark availability searches, preliminary risk assessments and review search reports for proposed brands, product names and business identifiers across relevant jurisdictions.

Maintain and monitor the Company’s intellectual property portfolio, deadlines, renewals and regulatory filings, and coordinate with internal stakeholders and external advisors for timely action. Support the team and senior management on strategic transactions, including mergers & acquisitions, collaborations, partnerships and other corporate restructuring initiatives. Provide legal opinions, legal interpretations, and recommendations on issues related to labour & employment laws, disputes, corporate laws, transfer of property, intellectual property etc.

Monitor legal and regulatory developments relevant to the pharmaceutical and healthcare industry and contribute towards strengthening the Company’s internal legal knowledge base and compliance practices. Manage and coordinate litigation matters involving the Company, including civil, commercial, consumer, labour, employment and regulatory disputes, in consultation with external counsels and internal stakeholders. Maintain and monitor litigation trackers, legal documentation and case records, and ensure timely reporting and escalation of material legal and compliance issues to management.

Support the HR function on employment-related matters including disciplinary actions, misconduct investigations, employee grievances, termination and separation issues, workplace policies and interpretation of employment contracts. Advise business and HR teams on labour law compliance, employee benefits, workplace disputes, POSH-related matters, disciplinary proceedings and other employment-related legal risks. Demonstrate the ability to work independently with minimal supervision while effectively collaborating with cross-functional teams in a dynamic business environment.

Qualifications Experience: 3 - 5 years of post-qualification experience in handling commercial contracts, corporate advisory and general legal matters, preferably with a reputed pharmaceutical, healthcare, FMCG or manufacturing organization and/or a leading law firm. Bachelor’s degree in Law (LL.B.) from a recognized university; LL.M. qualification shall be an added advantage. Required Skills In-depth understanding of legal contracts, cross border disputes & indemnity issues.

Demonstrated ability to manage multiple priorities independently, work under tight timelines and operate effectively in a dynamic corporate environment. Strong analytical, negotiation, communication and stakeholder management skills with the ability to provide practical and business-oriented legal solutions. Capacity to handle complexity and manage priorities within agreed timelines.

Working knowledge of corporate laws, intellectual property matters, compliance frameworks and general legal advisory relevant to the pharmaceutical, healthcare, FMCG or manufacturing sector. Ability to act quickly, decisively and create consensus. Ability to function independently under general guidelines and defined goals but with the judgment to know when and how to escalate issues.

Exposure to litigation and dispute management, including coordination with external counsels, review of pleadings and legal notices, case strategy discussions and monitoring ongoing legal proceedings.
