Industry: Real Estate (In-house Role) Qualification: CS (Company Secretary) preferred / LLB Experience: Relevant experience in real estate and corporate legal matters Job Summary The role involves managing legal and corporate affairs of the organization with a strong focus on real estate transactions, corporate law compliance, litigation (including NCLT matters), and structuring of joint ventures and group entities. The candidate will act as a key advisor to management on legal risks and strategic decisions. Key Responsibilities 1.
Real Estate Legal Handle legal aspects of land acquisition, development agreements, lease deeds, and project documentation. Conduct title due diligence and ensure clear and marketable title. Ensure compliance with RERA and local authority regulations. 2.
Corporate Law & Secretarial Compliance Ensure compliance under the Companies Act, 2013 and other applicable laws. Manage board meetings, committee meetings, and shareholder compliances. Oversee statutory filings with ROC and liaise with Ministry of Corporate Affairs. 3.
Litigation Management (Including NCLT) Handle litigation matters before National Company Law Tribunal (NCLT), High Courts, and other forums. Draft and review legal notices, replies, petitions, and affidavits. Coordinate with external counsels and monitor case progress. 4.
Corporate Structuring & Joint Ventures Structure real estate projects through SPVs and group entities. Draft and negotiate Joint Venture Agreements, Shareholder Agreements, and related documents. Support mergers, acquisitions, and restructuring activities. 5.
Contract Management Draft, vet, and negotiate contracts including construction agreements, vendor contracts, and financing documents. Identify legal risks and ensure adequate safeguards in agreements. 6. Compliance & Risk Advisory Monitor legal and regulatory developments affecting the business.
Advise management on risk mitigation and legal strategies. Develop and implement internal compliance frameworks. 7. Stakeholder Coordination Work closely with internal teams (finance, projects, sales) for legal support.
Liaise with regulatory authorities, consultants, and external legal advisors. Key Skills & Competencies Strong knowledge of real estate laws and corporate laws Experience in handling NCLT and litigation matters Expertise in drafting and contract negotiation Understanding of corporate structuring and joint ventures Analytical mindset with strong problem-solving ability Effective communication and stakeholder management skills Preferred Profile Company Secretary qualification will be an added advantage Experience in real estate or infrastructure sector preferred Ability to manage multiple projects and deadlines efficiently
