Role Description This is a full-time, on-site Company Secretary role based in Vadodara.

The Company Secretary will oversee statutory and regulatory compliance, maintain corporate records, and ensure adherence to applicable company laws and governance standards. Responsibilities include preparing and filing required documents and returns, organizing and documenting board and shareholder meetings, drafting minutes and resolutions, and maintaining statutory registers. The role will also involve liaising with regulators, auditors, and other external stakeholders, supporting the board on corporate governance matters, and assisting management with legal documentation related to corporate affairs.

The Company Secretary will collaborate closely with leadership and finance teams to support transparent reporting, risk management, and policy implementation. Qualifications Professional qualification as Company Secretary (CS) from ICSI; additional degree in Law, Commerce, or Business Administration is an advantage. Strong knowledge of corporate laws, secretarial standards, and regulatory compliance applicable to companies in India.

Proven experience in conducting board and general meetings, drafting notices, agendas, minutes, and resolutions, and maintaining statutory registers and records. Ability to prepare and file statutory returns and forms with regulatory authorities accurately and within deadlines. Solid understanding of corporate governance principles, risk management practices, and internal control processes.

Proficiency in MS Office and familiarity with compliance or secretarial software tools. Excellent written and verbal communication skills, with the ability to draft clear, professional legal and corporate documents. Strong organizational and time-management skills, with attention to detail and the ability to handle multiple priorities.

Ability to work collaboratively with senior management and cross-functional teams while maintaining confidentiality and integrity. Prior experience in a similar Company Secretary or corporate compliance role is preferred.
